§ legal · form TA-7 · terms of service

Terms & Conditions

The agreement between you and Polytask. In short: you brief the agents, you hold the pen on approvals, your data stays yours — and everything an agent does is on the record.

effective  2026-09-18rev  2026-09

01Agreement to these terms

These Terms and Conditions (the “Terms”) are a binding agreement between you — and, if you use the service on behalf of an organisation, that organisation — and Polytask Pty Ltd (“Polytask”, “we”, “us”). They govern your access to and use of the Polytask platform, website, and related services (together, the “Service”).

By creating an account, clicking to accept, or using the Service, you agree to these Terms and to our Privacy Policy. If you are accepting on behalf of an organisation, you represent that you have authority to bind it. If you do not agree, do not use the Service.

You must be at least 18 years old and able to form a binding contract to use the Service.

02The service

Polytask lets you create AI agents (“Agents”) that automate business processes. You describe a job in plain English, grant the Agent access to specific connected tools and data, and the Agent carries out the work — reading documents, drafting emails, creating records in your connected systems — while keeping a complete, auditable record of every step it takes.

The Service includes features such as triggers (starting an Agent from an inbound email or a private link), approvals (pausing before consequential actions until you sign off), test runs (rehearsing a job without live side-effects), and the call record (a trace of every Agent turn and tool call). We may add, change, or remove features over time; where a change materially reduces the Service, we will give you reasonable notice.

03Accounts and workspaces

You need an account to use the Service. You are responsible for the accuracy of your account information, for maintaining the confidentiality of your credentials, and for all activity under your account. Notify us promptly at the address in clause 17 if you suspect unauthorised use.

Workspaces may have multiple members. The workspace owner and administrators control who may join a workspace, what integrations are connected, and what each Agent is permitted to do. Actions taken by workspace members, and by Agents acting on the workspace's instructions, are the workspace's responsibility.

04Agents act on your instructions

Agents are powered by large language models. They are capable, but they are not infallible: an Agent may misread a document, draw a wrong conclusion, or take an action you did not intend. The Service is designed so that you stay in control — but that control is yours to exercise. You acknowledge and agree that:

  • You direct the Agents. Agents act on the briefs you write, the tool access you grant, and the messages you (or your triggers) send them. You are responsible for what you instruct them to do.
  • Approvals are your safeguard. When an Agent pauses for approval, review what it proposes before signing off. An action you approve is treated as an action you took yourself.
  • Output may be wrong. Agent output — including extracted figures, drafted documents, and records created in connected systems — may contain errors and must be reviewed before you rely on it for financial, legal, or other consequential decisions.
  • Scope what you grant. Only connect integrations, mailboxes, folders, and accounts that you are comfortable with an Agent using, and use the Service's scoping controls to limit access to what the job requires.
  • Messaging people is your call. When your Agents send messages — text messages in particular — to your customers, staff, or suppliers, you are responsible for having a proper basis to contact those people, including any consent the law requires. We identify Polytask as the sender, offer every recipient a working opt-out, and honour an opt-out on the conversation it was sent on until the recipient opts back in.
  • The Service is not professional advice. Nothing an Agent produces is accounting, legal, tax, or other professional advice.

05Connected integrations

The Service can connect to third-party products such as Xero, monday.com, Microsoft 365 (Outlook, OneDrive, SharePoint), Slack, SupplyWise, and Resend. When you connect an integration, you authorise Polytask to access and act on that system on your behalf, within the scopes you grant, so that Agents can do the work you brief them for.

Your use of each connected product remains governed by your agreement with that provider, and you are responsible for having the right to connect it. We are not responsible for the availability, behaviour, or data-handling of third-party products, and an integration may stop working if the provider changes or withdraws its interfaces. You may disconnect an integration at any time, which revokes the Service's access from then on.

06Your content

You own your content. The briefs you write, the files you upload, the emails and documents your Agents process, and the records they produce (together, “Customer Content”) remain yours. We claim no ownership of it.

You grant us a limited, non-exclusive licence to host, process, transmit, and display Customer Content solely to provide, secure, and support the Service — including sending relevant content to the model providers and infrastructure sub-processors listed in our Privacy Policy for the purpose of running your Agents. We do not use Customer Content to train machine-learning models, and we do not enrol Customer Content in any programme that would allow a model provider to train on it.

You are responsible for Customer Content: that you have the rights to it, that connecting it to the Service is lawful, and that it does not infringe anyone else's rights.

07Acceptable use

You agree not to use the Service (or direct an Agent) to:

  • break the law, infringe others' rights, or process data you have no right to process;
  • send spam or unsolicited bulk communications, or engage in deceptive or fraudulent activity;
  • probe, breach, or circumvent the Service's security or access controls, or interfere with its operation;
  • reverse-engineer the Service or access it to build a competing product;
  • resell or sublicense the Service without our written agreement; or
  • use the Service in circumstances where a failure could lead to death, personal injury, or severe damage — it is built for back-office work, not safety-critical systems.

We may investigate suspected violations and may suspend or terminate access under clause 14.

08Fees and plans

Where the Service (or a tier of it) is offered for a fee, the applicable pricing, billing period, and payment terms will be presented to you when you subscribe. Unless stated otherwise, fees are charged in advance, are non-refundable except where required by law, and exclude taxes, which you are responsible for.

We may change pricing with at least 30 days' notice; changes take effect at your next billing period. Features offered free of charge, in beta, or as a preview may be changed or withdrawn at any time.

09Intellectual property

The Service — including its software, design, and branding — is owned by Polytask and its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms for your internal business purposes. No other rights are granted.

If you send us feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free licence to use them without restriction or obligation to you.

10Third-party services

The Service is built on third-party infrastructure and model providers (listed in our Privacy Policy). While we choose providers carefully, we do not control them, and the Service depends on their continued availability. Links to third-party sites or products are provided for convenience and are not endorsements.

11Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AGENT OUTPUT WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR ANY PARTICULAR PURPOSE.

Some jurisdictions do not allow certain disclaimers, so parts of this clause may not apply to you. Nothing in these Terms excludes rights that cannot lawfully be excluded.

12Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: (a) NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL; AND (b) TASKAGENT'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF (i) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY AND (ii) USD $100.

These limits apply regardless of the theory of liability and even if a remedy fails of its essential purpose, but do not limit liability that cannot lawfully be limited (such as for fraud or wilful misconduct).

13Indemnity

You will defend and indemnify Polytask against third-party claims, and resulting damages and reasonable costs, arising from (a) Customer Content, (b) your breach of these Terms, or (c) your (or your Agents', as instructed by you) violation of law or of a third party's rights — provided we notify you promptly of the claim and reasonably cooperate at your expense.

14Suspension and termination

You may stop using the Service at any time, and request deletion of your account as set out below. We may suspend or terminate your access if you materially breach these Terms, if required by law, or if your use poses a security or operational risk — where practicable, with prior notice and a chance to cure.

On termination, your right to use the Service ends. Ending your subscription or closing your account does not, by itself, delete your Customer Content. If you have workspace-admin rights you can export a workspace at any time through the Polytask MCP server: it produces a downloadable archive of your agents and their prompts, their version history, a transcript of recent runs, your triggers, your connected integrations and your saved test cases, subject to size limits described in the export itself. It never includes integration credentials or webhook secrets. Your workspace activity log can also be exported from Settings in the app. You can delete your account yourself from Settings in the web app or the mobile app, and if you are an organisation owner you can delete a workspace from that workspace’s settings; you may also email us at the address in clause 17 and we will do it for you. Agents stop as soon as a deletion is scheduled, nothing is deleted for 14 days and the request can be cancelled at any point in that period, and a deletion completes within 30 days of the request. We retain billing records, the audit record and the record of the deletion request itself, as we must for legal and security purposes. Export what you need before you schedule a deletion. If you want a copy of anything the export does not cover, ask us before deletion and we will work with you in good faith to provide one in a reasonable format. Clause 09 of our Privacy Policy sets out how long we keep each kind of data. Clauses that by their nature should survive — including 6, 9, and 11 through 16 — survive termination.

15Changes to these terms

We may update these Terms from time to time. For material changes we will give you reasonable advance notice — by email or in the product — before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms; if you do not agree, stop using the Service before that date.

16Governing law

These Terms are governed by the laws of the State of Delaware, USA, excluding its conflict-of-laws rules. The courts located in Delaware have exclusive jurisdiction over disputes arising out of these Terms or the Service, and each party consents to their jurisdiction — except that either party may seek injunctive relief in any court of competent jurisdiction.
